Terms and Conditions of Use

1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you" or "your") and Leads Agency SRL ("Omnia", "we", "our" or "the Company") governing your access to and use of the Omnia platform and all related services (collectively, the "Service").

By creating an account, accessing or using the Service in any way, you agree to be legally bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

⚖️ Legal Capacity

By accepting these Terms, you represent that: (a) you are at least 18 years of age, (b) you have the legal capacity to enter into binding contracts, and (c) you are not prohibited from using the Service under applicable laws.

2. Service Description

Omnia is a software-as-a-service (SaaS) platform that uses artificial intelligence to assist mental health professionals in comprehensive clinical case analysis.

2.1 Main Features

  • Multidimensional Analysis: Evaluation through 12 human dimensions
  • Conversational Chat: Dialog interface with contextual memory and history
  • Patient Management: Complete digital records system
  • Knowledge Base: Access to specialized integrative psychology information
  • Enneagram Analysis: Personality type evaluation
  • Logotherapy: Existential analysis and life meaning
  • Somatic Psychology: Mind-body connection in clinical analysis

2.2 Nature of the Service

⚠️ IMPORTANT NOTICE

Omnia is a clinical support and assistance tool. It is NOT a substitute for professional judgment, medical diagnosis, or treatment. You are solely responsible for:

  • All clinical and therapeutic decisions
  • Diagnoses and evaluations you make
  • Treatments you prescribe
  • Compliance with professional and ethical standards
  • Compliance with local health regulations

3. Eligibility and Registration

3.1 Eligibility Requirements

To use Omnia, you must meet the following requirements:

  • Be at least 18 years of age
  • Be a certified professional or advanced student in psychology or mental health
  • Have the licenses, certifications or credentials required in your jurisdiction
  • Comply with applicable professional ethics codes
  • Provide truthful and complete information during registration
  • Not be legally prohibited from practicing your profession

3.2 Account Creation

By creating an account, you agree to: (a) provide accurate, current and complete information, (b) promptly maintain and update your information, (c) maintain the security and confidentiality of your password, (d) immediately notify us of any unauthorized use of your account, and (e) be responsible for all activities under your account.

3.3 Verification

We reserve the right to verify your professional credentials, request additional documentation, or suspend accounts that do not meet eligibility requirements.

4. Subscription Plans and Billing

4.1 Free Trial Period

  • Duration: 100 free consultations (no time limit)
  • Limits: Maximum 3 patients during trial
  • Access: All features included
  • No card: No payment information required
  • Cancellation: You can stop using at any time

4.2 Monthly Professional Plan

  • 💰 Price: $30 USD per month
  • 👥 Patients: Unlimited
  • 💬 Consultations: Approximately 7,688 per month (250,000 tokens)
  • 🔄 Recharge: 100,000 additional daily tokens
  • 📄 Export: Records to PDF
  • 🆘 Support: Priority by email

4.3 Annual Professional Plan

  • 💰 Price: $300 USD per year (16% savings)
  • Everything in monthly plan, plus:
  • 🎁 Benefit: Early access to new features
  • 📞 Advisory: Personalized onboarding session
  • 🎓 Training: Exclusive training material

4.4 Billing and Payments

  • Processor: All payments are processed securely through PayPal
  • Currency: US Dollars (USD)
  • Auto-renewal: Subscriptions renew automatically at the end of each period
  • Payment method: Credit card, debit or PayPal account
  • Billing: You will receive a receipt by email after each successful charge
  • Taxes: Prices do not include applicable local taxes

4.5 Price Changes

We reserve the right to modify our prices with 30 days prior notice by email. Price changes will not affect your current subscription until your next renewal.

4.6 Payment Failures

If a payment fails, we will attempt to charge again for 7 days. If all attempts fail, your subscription will be suspended and you will lose access to premium features.

5. Cancellation and Refunds

5.1 User Cancellation

You can cancel your subscription at any time from your account panel or by contacting pat@omniacr.com. Cancellation will be effective at the end of the current billing period.

5.2 Refund Policy

  • Free trial: Not applicable (no charge)
  • Monthly plan: Non-refundable. Access until end of paid month
  • Annual plan: Prorated refund if cancelled within first 30 days
  • Exceptions: Evaluated case by case

5.3 Cancellation for Violation

If we cancel your account for violation of these Terms, you will not be entitled to any refund.

6. Acceptable Use of Service

6.1 Permitted Conduct

  • Use the Service for legitimate clinical analysis of real patients
  • Store confidential patient information securely
  • Export your own data for personal backup
  • Provide feedback to improve the service

6.2 Prohibited Conduct

You agree NOT to:

  • Use the Service for illegal, fraudulent or unauthorized purposes
  • Violate applicable laws, including health and privacy regulations
  • Share your account with other people or organizations
  • Resell, redistribute or sublicense access to the Service
  • Attempt to hack, decompile or reverse engineer the system
  • Use bots, scrapers or unauthorized automated tools
  • Abuse usage limits or intentionally overload the system
  • Impersonate identity or falsify professional credentials

6.3 Professional Responsibility

As a health professional, you are responsible for:

  • Verifying the accuracy of all AI suggestions before applying them
  • Maintaining professional and ethical standards at all times
  • Complying with all applicable laws and regulations
  • Obtaining informed consent from patients when required
  • Maintaining confidentiality of patient information
  • Not delegating critical clinical decisions to AI

7. Intellectual Property

7.1 Omnia Ownership

All intellectual property rights over the Service are the exclusive property of Leads Agency SRL. These Terms do not grant you any intellectual property rights, only a limited and revocable right of use.

7.2 User Content

You retain all rights over the data you enter into the Service. By using the Service, you grant us a limited license to process and store your data.

⚠️ IMPORTANT: We never use your specific patient data to train models accessible by other users.

7.3 Feedback

Any suggestions or feedback you provide may be used freely by us without compensation.

8. Warranties and Limitations

8.1 "As Is" and "As Available"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE"

We do not guarantee that:

  • The Service will be uninterrupted, timely, secure or error-free
  • Results will be accurate, reliable or complete
  • All defects will be corrected
  • The Service will meet your specific requirements

8.2 No Medical Warranty

Omnia is not a medical device. We do not guarantee the medical accuracy of analyses or information provided.

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEADS AGENCY SRL SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special or consequential damages
  • Loss of profits, data, use or reputation
  • Clinical decisions made based on use of the Service
  • Adverse patient outcomes
  • Service interruptions or data loss

Our total liability shall not exceed the amount paid in the last 12 months, or $100 USD, whichever is greater.

9. Indemnification

You agree to indemnify and hold harmless Leads Agency SRL from any claims arising from:

  • Your use or misuse of the Service
  • Violation of these Terms or any applicable law
  • Violation of third party rights
  • Clinical decisions made using the Service
  • Professional negligence or malpractice

10. Service Modifications

We reserve the right to modify, suspend or discontinue any aspect of the Service at any time.

11. Terms Modifications

We may update these Terms periodically. Significant changes will be notified 30 days in advance.

12. Termination

12.1 User Termination

You can terminate your account at any time by canceling your subscription.

12.2 Termination by Omnia

We may suspend or terminate your access if you violate these Terms.

12.3 Effects of Termination

Upon termination: (a) you will lose immediate access, (b) data retained per Privacy Policy, (c) records available for export for 30 days, (d) data deleted after 90 days.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of Costa Rica. Any dispute will be resolved in the courts of Heredia, Costa Rica.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the complete agreement regarding the Service.

14.2 Severability

If any provision is invalid, the others will remain in force.

14.3 Assignment

You may not assign these Terms without our prior written consent.
